Welcome to Nemem! These Terms of Service ("Terms") apply to your use of Nemem, its website and any related applications, products, software, data feeds, and services (the "Services") provided by Nemem Inc. ("Nemem", "we", "us", or "our"). By accessing or using our Services, you agree to be bound by these Terms.
1. Use of Services
Nemem provides a language learning app that uses short-form mobile videos to teach new words and phrases of a foreign language in a fun way. The app aims to make education accessible and enjoyable for everyone by transforming idle social media scrolling time into valuable learning opportunities. By using our Services, you agree to use them only for their intended purposes and in accordance with these Terms.
2. Eligibility
You must be at least 18 years old to use our Services. If you are under 18, you may only use our Services with the involvement of a parent or legal guardian.
3. Privacy Policy
We collect certain personal information from you in order to provide our Services. By using our Services, you agree to our Privacy Policy, which is incorporated by reference into these Terms. Please read our Privacy Policy carefully before using our Services.
4. User Accounts
In order to use some of our Services, you may need to create a user account. You agree to provide accurate and complete information when creating an account and to keep your account information up-to-date at all times. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

distribute, perform, display, or sell any content or intellectual property appearing on or through our
Services without our prior written consent.
6. User-Generated Content
Nemem allows users to upload content, such as videos and text, to share with other users. By uploading content, you represent and warrant that you have all necessary rights to do so and that your content does not infringe on the intellectual property rights of any third party. You grant Nemem a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display your content in connection with the Services. You also grant each user of the Services a non-exclusive license to access your content through the Services.
7. Subscription and Payment
Some of our Services require payment, such as premium vocabulary packages. By subscribing to these Services, you agree to pay the applicable fees and taxes and to keep your payment information up-to-date. The subscription operates with the help of Google Play's billing system, and you agree to abide by Google Play's Terms of Service. You acknowledge and agree that Nemem has no control over Google Play's billing system and cannot be held responsible for any issues arising from its use. If you choose to cancel your subscription, you may do so through your Google Play account. Please refer to Google Play's Terms of Service for more information on canceling subscriptions.
8. User Conduct
You agree not to use our Services for any unlawful or unauthorized purposes. You agree to comply with all applicable laws and regulations, including intellectual property laws, and not to engage in any activity that interferes with or disrupts our Services.
9. Indemnification
You agree to indemnify and hold Nemem, its affiliates, and their respective officers, directors, agents, and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of our Services, your violation of these Terms, or your violation of any rights of another.
10. Modifications to Terms
We may modify these Terms at any time, and it is your responsibility to review these Terms regularly.
Your continued use of our Services after any modification to these Terms constitutes your acceptance of
the modified Terms.
11. Termination
We reserve the right to terminate or suspend access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service.
12. Limitation of Liability
In no event shall Nemem Inc., nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.
13. Disclaimer
Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.
Nemem Inc., its subsidiaries, affiliates, and its licensors do not warrant that a) the Service will function uninterrupted, secure or available at any particular time or location; b) any errors or defects will be corrected; c) the Service is free of viruses or other harmful components; or d) the results of using the Service will meet your requirements.
14. Governing Law
These Terms shall be governed and construed in accordance with the laws of the State of Delaware USA, without regard to its conflict of law provisions.
15. Dispute Resolution
Any dispute arising out of or related to these Terms or the Service shall be governed by the laws of the State of Delaware, and resolved exclusively through arbitration under the rules of the American Arbitration Association. The arbitration shall be conducted in the English language in the State of Delaware, USA.
